The Worldrefractories Pte Ltd. (referred to as WR) User Agreement and Disclaimers (referred to as "Agreement") describes the terms and conditions applicable to your use of our services. If you have any questions, please contact us at info@worldrefractories.com. We may amend this Agreement at any time by posting the amended terms on our site. Except as stated below, all amended terms shall automatically be effective after they are posted on our site. This Agreement may not be otherwise amended except in written form signed by you and WR.

OR VIEWING SALES OFFERINGS, PLEASE READ THIS AGREEMENT CAREFULLY BECAUSE IT
CONTAINS THE TERMS UNDER WHICH YOU WILL USE THIS SITE. UTILIZING THIS SITE CONSTITUTES
ACCEPTANCE OF THIS AGREEMENT.

Nature of the Site.
This Site is an online information, communication, advertising and sales service
for owners ("Sellers") of business assets such as equipment and inventory/
products ("Assets") and potential buyers ("Buyers") of Assets
to exchange information and facilitate the sale of Assets. The ultimate transaction
between Buyer and Seller, however, does not occur on this Site, and WR is
not involved in any such transaction. As a result, WR has no control over,
and shall not be responsible for the quality, safety, or legality of any Asset,
or the truth or accuracy of any information or representation posted on the
Site. We cannot ensure that a buyer or seller will actually follow through with
a sale or purchase.
Modifications
WR may, in its sole discretion, amend this Agreement, at any time, by posting
an amended Agreement on the Site. Such amended Agreement will become effective
upon the posting of such Agreement on the Site. Continued use of the Site after
such effective date constitutes acceptance of the amended Agreement. WR reserves
the right, for any reason and at any time, in its sole discretion, to modify,
suspend, or terminate any portion of the Site without notice.
Registration
No user will be permitted to post or accept any business offer on the site,
without first registering as a member with WR, having a valid Active Business
Party (ABP) code. Since this Site is available only for the purpose of facilitating
business-to-business transactions and is not intended for general consumer use,
only those individuals who are authorized to form legally binding contracts
on behalf of a business are eligible to enter information on WR.
The user is fully
responsible for any information furnished online and WR may take all permissible
legal actions against the registrant for any information which have been found
to be false or untrue.
As used in this Agreement, the term "you" refers to both the individual
user and the business that the user represents. In requesting an entry posting
or in any other communication with WR, you may not impersonate or misrepresent
an affiliation with any other person or entity, nor may you attempt to communicate
with WR in an anonymous manner. Entering any information on the site constitutes
acceptance of this Agreement. After submitting your posting, it will be reviewed
by WR. WR may, in its sole discretion, reject your posting for any reason
and/or terminate your access to the site at any time for any reason.
E-commerce / Software Solutions Section
WR
will provide IT consultancy services and software and e-commerce solutions for
firms on a case by case basis. All the charges will be quoted upfront and the
scope of the project will be finalized when a contract is made. The charges
finalized once have to be paid in part or upfront as the case maybe. The terms
can be altered at the discretion of WR with prior notice.
Consultancy Section
WR has
liaised with consultancy companies (or individuals) worldwide and will help in
meeting the customers’ requirements by comparing them to the profiles of these
companies. Once the requirements have been received and the profiles have been
matched, the responsibility of the exchange between the consultants and the
customers is shared between the parties involved. WR does not assume any
responsibility after the deal is finalized.
Books & Periodicals section
Worldrefractories
Pte Ltd does not guarantee the validity or correctness of the third party books
and periodicals that are sold on the website. Worldrefractories Pte Ltd will
collect the payment and pass the orders to the original party and the delivery
of the publications will be done directly by the concerned party. However, if
the order cannot be delivered for some unavoidable reason, the user who bought
the publication may request for a refund.
The linkages to other online bookstores are indented to provide users with a comprehensive listing of websites to purchase refractory related publications. Worldrefractories Pte Ltd does not take any part or responsibility in the activities of these websites.
Technical Articles Section
The
papers and materials placed under this section is protected by copyright law.
The material is either copyrighted to Worldrefractories Pte Ltd or to the
authors concerned and is available for a small service fee. This fee can be
changed by Worldrefractories Pte Ltd at its discretion.
Although
we try to publish helpful and superior quality papers and articles,
Worldrefractories Pte Ltd does not guarantee the validity or correctness of the
material.
Linkages section
The linkages that are purchased online will be
put online by Worldrefractories Pte Ltd under the Useful
Links section.
Worldrefractories Pte Ltd reserves the right to modify the descriptions of the
website URL for clarity. Worldrefractories Pte Ltd also reserves the right to
withhold or remove any links or URLs that contain offensive or improper
material. In such a case, the amount paid for the purchase of the linkage will
not be refunded.
Worldrefractories
does not claim responsibility for the validity of links; the accuracy of the
content and/or the quality of the products or services provided by these
parties.
The
cost of linkage rights is currently US$ 100 for a period of one year. This price
maybe changed by Worldrefractories Pte Ltd at their own discretion.
Design Section
The
design section offers information about various design aspects within the
industry. The user is the judge of the correctness of the content placed under
this section. Worldrefractories will put up material that it thinks is
appropriate but there is no guarantee from our side.
Booking a stall at the Virtual Trade Show (VTS)
If
a company books stalls at the Virtual Trade Show, they need to pay the hosting
charges per year for the stall. Worldrefractories reserves the right to change
the price of hosting at anytime.
If
a company requests Worldrefractories to do the designing for them, then the
company also would need to pay designing charges. The designing charges will
vary according to the complexity and type of package and will be decided prior
to finalizing the order (of booking a stall).
Once
the order is finalized, Worldrefractories Pte Ltd will design the stall for them
based on the information the company provides. Worldrefractories Pte Ltd does
not guarantee the validity or correctness of any such information. The stalls
after being completed will be put on a test site for the company to preview for
a certain period of time. After that the stall will be automatically put on the
live site. Worldrefractories Pte Ltd will make minor changes to the stall if
required by the clients; however no major changes will be possible.
Worldrefractories Pte Ltd reserves the right to change the price of designing and hosting the stall at any time.
Ask The Experts section
All
questions asked by the users to any of the Experts on the panel are first
moderated by Worldrefractories Pte Ltd (WR). WR reserves the right to withhold
any emails with improper language and/or modify the emails for better clarity.
In any case, the user will be notified about any such modifications once
intimation is sent to the Expert concerned.
Logistics Module
The Logistics module
requires registration as an e-Business member. Any member posting a freight
requirement or offer, needs to pay a posting fee equivalent to USD 50 for every
60 days. Furthermore, if and when a deal is closed, the seller pays a 1%
transaction fee on the total amount of transaction, to Worldrefractories Pte

Worldrefractories Pte Ltd
reserves the right to change the prices and terms at anytime.
Auctions module
The Auctions module requires registration as an e-Business member. When a member needs to post an item for auction, he/she is charged a one time posting fee of USD 50 and the item remains in the auction site for maximum period of 60 days. Furthermore, if and when a deal is closed, the seller of the item pays a 2% transaction fee on the total amount of transaction, to Worldrefractories Pte Ltd. Buy & Sell module
The Buy & Sell module requires registration as an e-Business member. Any member posting a buying requirement or a sale offer, needs to pay a posting fee equivalent to USD 50 for every 60 days. Furthermore, if and when a deal is closed, the seller of the item pays a 1% transaction fee on the total amount of transaction, to Worldrefractories Pte Ltd. Surplus-Stock Clearance module
The Surplus-Stock Clearance
module requires registration as an e-Business member. Any member posting a
sale offer, needs to pay a posting fee equivalent to USD 50 for every 60 days.
Furthermore, if and when a deal is closed, the seller of the item pays a 1%
transaction fee on the total amount of transaction, to Worldrefractories Pte

Grant of License
Subject to the terms and conditions of this Agreement and any other rules or
procedures established by WR from time to time, WR hereby grants to you
a revocable, nonexclusive, nontransferable license, without the right to sublicense,
to use this Site solely for your internal business purpose of facilitating the
sale or purchase of Assets, listing your company in the directory, listing your
products in the product data bases, posting job opportunities, advertising your
company, and other services. Except as expressly set forth herein, you may not
modify, copy, distribute, transmit, reproduce, publish, license, transfer, sell,
mirror, frame, or otherwise use any information or content obtained from or
through the Site.
You represent and warrant
to WR that you will not use this Site for any purpose that is unlawful or
prohibited by this Agreement. You are responsible for providing, at your expense,
all communications lines, hardware, software, services, and other materials
and technology necessary for you to access the Site. WR shall have no responsibility
for any failure of such items or any failure or limitation of the Internet or
other computer hardware or software.
Posting Information.
You are solely responsible for maintaining and updating any information directly
on the Site or by contacting WR concerning such changes and updates so that
such information is current, complete, truthful, and accurate at all times.
You represent and warrant that you will not upload, post or transmit to or distribute
or otherwise publish on or through the Site any material or information that:
infringes or misappropriates any patent, copyright, trademark, trade secret
or other proprietary right, violates any law, statue, ordinance, or regulation
when posted on the Site or provided to WR, is threatening, defamatory, libelous,
harassing, or profane, contains a virus, Trojan horse, worm, cancelbot, time
bomb, or other component that may adversely affect any hardware or software,
or that intercepts or expropriates any data or information, or includes bulk
Emails, advertisements, or solicitations.
Selling Assets
Assets may be sold through a general sale on the WR e-Business Zone. By posting
information to the Site, pertaining to an Asset that you intend to sell, you
create a "Listing". Once a Listing is posted, you may amend the Listing
online. You must, however, immediately notify WR if you discover any error
in the Listing. You must specify in the Listing an accurate description of the
Asset and the material terms of purchase.
Overview
Our site acts as the venue for sellers to list Assets for sale. We are not involved
in the actual transaction between Buyers and Sellers. As a result, we have no
control over the quality, safety, or legality of the items advertised, the truth
or accuracy of the Listings, the ability of sellers to sell items or the ability
of buyers to buy items. We cannot ensure that a buyer or seller will actually
complete a sale.
Listing an Asset for Sale.
In posting a Listing for general sale, you may specify an asking price and/or
a minimum price for the Asset.
Offering to Buy an Asset.
Buyers wishing to purchase or inquire about an Asset for general sale, should
contact the company posting the Listing directly.
Posting Fees.
As a Seller of an Asset in a general sale, you agree to pay WR a token nominal
fee for each Asset that is the subject of a Listing posted by you.
Transaction Fees.
Once a Listing is accepted and the deal is finalized, the seller has to pay
the transaction fees as per the Service Charges Schedule, which may be modified
from time to time. There is no charge to browse the Site to obtain information
pursuant to this Agreement, but you do pay fees to list items on the Site. For
specific fees/charges/price, please see the section of the Site in which you
are interested. You do not purchase any exclusive rights to a Web page on WR
except participating in the Vitual Trade Fair. WR may, in its sole discretion,
and without your consent or payment to you, place third party advertisements
on any Web page within the Site.
Payment Terms
Sellers/Buyers can pay for
services/products online by credit card (Visa, MasterCard), by direct bank
remittance or by sending bank drafts. For more information on payment

Invoicing Procedures and Payments
Please be advised that you will be charged a onetime fee of US$50 for any Listing
for 60 days or part thereof. Thereafter, if you wish your posting to continue
on the site, a renewal fee of US$50 will be made payable by you to continue
listing your posting for another 60 days . Furthermore,
any Listings or postings that are cancelled at any time within any monthly period,
i.e., before the 60 days cycle is complete, will be charged for a full US $50.
There will be no refunds for portions of a 60 days cycle. All transactions are
FINAL.
Warranties for Sellers
As a Seller, you represent and warrant that:
(1) Any Asset described in a Listing posted by you shall not be fraudulent or counterfeit and shall be accurately represented by the Listing.
(2) You have the right, through actual ownership, to list any Asset described in a Listing posted by you and to sell such Assets through the use of the Site.
(3) You shall not post information for any Asset which would be illegal to sell, or offer to sell, under applicable law
(4) Payment of the applicable
fees to WR shall not cause WR to violate any applicable laws, and you
shall not post any information pertaining to any securities, live animals, body
parts, pornography, bulk-mailing lists, or weapons.
Relationship of the Parties
No joint venture, partnership, employment, or agency relationship exists between
you and WR as a result of this Agreement or your use of this Site. You acknowledge
and agree that WR is only an intermediary that relays information about certain
Assets, Directory Listings, Job Postings and other services to interested parties.
You agree that you will assume all responsibility in connection with choosing
to sell or purchase any Asset, whether or not you posted or obtained information
about such an Asset through this Site.
WR assumes no responsibility or liability for any claims that may result
directly or indirectly from the buyer/seller relationship, including, but not
limited to, tort, product strict liability, breach of contract, or breach of
warranty claims. You hereby release WR and its employees, agents, officers,
Directors and affiliates from any and all claims or actions related to or arising
out of a dispute between you and any other user of the site
No Recommendations or Endorsement.
WR does not sell or take title to the Assets referenced on this Site and does
not recommend or endorse the accuracy or reliability of any Listing, Offers,
or other information, content, or advertisements contained on, distributed through,
linked, downloaded, or otherwise accessed from this Site, nor the quality of
any of the products, information, or materials displayed, purchased, obtained
or otherwise available through this Site.
Taxes
WR is not responsible for reporting or remitting any taxes, which may be
assessed, due or owing in any jurisdiction due to a transaction arising from
use of the Site.
Privacy/Confidentiality
At WR, we are committed to protecting the privacy of the users of our Site.
All data collected on the Site is protected against unauthorized access. However,
WR cannot guarantee the security of any information you disclose online,
and you do so at your own risk. WR is not responsible for the security of
any information transmitted via the Internet or any error or delay in transmitting
any information over the Internet, and you assume sole and complete risk for
using this Site. By using the Site and providing the data, you consent to the
collection and use of the data in accordance with this Agreement.
Monitoring
WR has the right, but not the obligation, to monitor, edit, disclose, refuse
to post, or remove at any time, for any reason in its sole discretion, any material,
content, or information from the Site. Notwithstanding the foregoing, WR
does not, and cannot, review all material, content, and information posted to
the Site, and WR is not responsible for any such material, content, or information
posted by users of the Site.
By posting any information
or content to the Site, you automatically grant WR a royalty-free, perpetual,
irrevocable, non-exclusive right and license to use, reproduce, modify, adapt,
publish, translate, create derivative works from, distribute, redistribute,
transmit, perform and display such information and content (in whole or in part)
worldwide and to incorporate it in other works in any form, media or technology
now known or later developed for the full term of any rights that may exist
in such information or content. WR reserves the right to remove any information
or content posted by you from the Site at any time for any reason, in WR’s
sole discretion.
Links to other Sites
WR may provide links free as well as chargeable, in its sole discretion and
subject to payment of specified charges for Links, to your or other sites on
the World Wide Web for the convenience of its users in locating related information
and services. These sites may not have been reviewed by WR and may be maintained
by third parties over which WR exercises no control. Accordingly, WR expressly
disclaims any responsibility for the content, the accuracy of the information,
and/or quality of products or services provided by or advertised on these third-party
sites. WR is not responsible for the availability of such sites and does
not endorse such sites.
Warranty Disclaimer
WR makes no representations or warranties about the site, or the suitability,
legality, or accuracy of the information, products, and services described or
contained on the site. The site and all such information, products and services
are provided "as is" without warranty of any kind, including all implied
warranties of merchantability, fitness for a particular purpose, title, and
non-infringement.
Limitation of Liability
In no event shall WR be liable for any indirect punitive, incidental, special,
or consequential damages arising out of or in any way connected with the use
of this site or with the delay or inability to use this site, or any information,
products, and services available on or through this site, including without
limitation, loss of revenue or anticipated profits or lost of business or lost
sales, whether based in contract, tort (including negligence and fraud), product/strict
liability, or otherwise, even if wrcom has been advised to the possibility of
damages. Because some states/jurisdictions do not allow the exclusion or limitation
of liability for consequential or incidental damages, the above limitation may
not apply. If the above limitation does not apply , then the total liability
of WR related to or arising from use of this site, whether based in contract,
tort (including negligence and from use of this site, whether based in contract,
tort (including negligence and fraud) product/strict liability or otherwise
shall not exceed, in the aggregate, one hundred dollars, even if WR has been
advised of the possibility of such damage. These limitations shall apply notwithstanding
any failure of essential purpose of any limited remedy.
Indemnity
You hereby agree to defend and indemnify WR and its respective affiliates,
and all of their officers, directors, shareholders, legal representatives, employees,
successors, assigns, and agents and hold them harmless from and against any
and all claims, proceedings, damages, injuries, liabilities, losses, costs,
and expenses (including reasonable attorneys’ fees and litigation expenses),
relating to or arising from: your use of this Site, your breach of this Agreement,
your dispute with another user of the Site, or any Asset posted on, or sold
through, the Site. You shall not settle or otherwise dispose of any matter that
is subject to indemnification by you without the prior written consent of WR.
WR reserves the right to assume the exclusive defense and control of any
matter subject to indemnification by you.
Events beyond WR Control
WR will not be liable for any loss resulting from a cause over which it does
not have direct control, including, but not limited to, failure of electronic
or mechanical equipment or communication lines, telephone or other interconnect
problems, computer viruses, unauthorized access, theft, operator errors, severe
weather, earthquakes or natural disasters, strikes or other labor problems,
wars, or governmental restrictions.
Governing Law
The laws of the Republic of Singapore govern this Agreement.
Arbitration
Any controversy or claim arising out of or relating to this Agreement or our
services shall be settled by binding arbitration in accordance with the commercial
arbitration rules of Singapore. Any such controversy or claim shall be arbitrated
on an individual basis, and shall not be consolidated in any arbitration with
any claim or controversy of any other party. The arbitration shall be conducted
in Singapore and judgment on the arbitration award may be entered into any court
having jurisdiction thereof. Either you or WR may seek any interim or preliminary
relief from a court of competent jurisdiction in Singapore, necessary to protect
the rights or property of you or WR pending the completion of arbitration.
Compliance with Laws
All Sellers and Buyers shall comply with all applicable laws including any international
laws, in using the Site, and shall comply with all such laws in completing the
sale of an Asset.
Termination
WR may discontinue, modify or change any presently
available service or content on the Site in whole or in part, at anytime for
any reason, without prior notice. Either you or WR may limit or terminate
your use of the Site with or without cause at any time and effective immediately.
WR shall not be liable to you or any third party for termination of your,
or any third party’s, use of the Site. You acknowledge and agree that any
termination or limit on your use of the Site may be effected without prior notice,
and you acknowledge and agree that WR may immediately remove, delete, or
discard any information or content that you have posted.
Survivorship
The sections of this Agreement governing your conduct and warranties will survive
the termination of this Agreement.
Reservation of Rights
Apart from what is expressly set forth in this Agreement, WR grants no rights
whatsoever to you or any user of the Site in the patent(s), copyright(s), trademarks,
trade names, service marks, trade secrets or other intellectual property rights
of WR, including, without limitation, any rights in the WR, whether created
prior to, during or after the performance of this Agreement.
General
If any provision of this Agreement is held by a court of competent jurisdiction
to be invalid or unenforceable, then such provision shall be enforced to the
maximum extent permissible so as to achieve the intent of this Agreement, and
the remainder of the Agreement shall remain in full force and effect. The section
headings in this Agreement are for the convenience of the parties only, and
shall have no substantive meaning and shall not be used to construe or interpret
any provision of this Agreement. Failure to insist on strict performance of
any of the terms and conditions of this Agreement will not operate as a waiver
of any subsequent default or failure of performance. No waiver by WR of any
right under this Agreement will be deemed to be either a waiver of any other
such right or provision or a waiver of that same right or provision at any other
time. This Agreement constitutes the entire agreement between the user and WR
with respect to the subject matter hereof and it supersedes all prior or contemporaneous
communications and proposals, whether electronic, oral, or written, between
you and WR with respect to the subject matter hereof.

IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE THE SITE, POST ANY INFORMATION TO THE SITE, OR VIEW SALES OFFERINGS.
Use of this site constitutes
acceptance of the Disclaimer and the Privacy Statement.
